1. Acceptance of Terms
By downloading, installing, or using the PropBet mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and PropBet ("we," "us," or "our").
We reserve the right to modify these Terms at any time. Continued use of the App after changes are posted constitutes acceptance of the revised Terms.
2. Description of the App
PropBet is a social tracking application that allows friend groups to create, record, track, and settle informal prop bets. The App uses virtual in-game coins solely as a ledger mechanism. PropBet does not:
process, hold, transmit, or facilitate real-money transactions;
accept deposits or payments of any kind;
award or pay out real money, prizes, or items of tangible monetary value;
act as a bookmaker, gambling operator, or financial institution.
All real-world settlement of any informal wager between users occurs entirely outside the App and is solely the responsibility of the participating users.
3. Eligibility
You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms in your jurisdiction.
It is your sole responsibility to determine whether using this App complies with applicable laws in your jurisdiction. We make no representation that the App is legal, appropriate, or available in every location. Access to or use of the App from jurisdictions where such use is prohibited is at your own risk.
4. User Accounts
To access certain features you may be required to create an account. You agree to:
provide accurate, current, and complete registration information;
maintain and promptly update your account information;
keep your login credentials confidential;
notify us immediately of any unauthorized use of your account.
You are responsible for all activity that occurs under your account. We are not liable for any loss arising from your failure to safeguard your credentials.
5. Virtual Currency
The App uses a virtual coin system ("PropBet Coins" or "Coins") solely to track bet outcomes between users. PropBet Coins:
have no real-world monetary value;
cannot be exchanged for real money, goods, or services;
cannot be transferred outside the App;
are not redeemable, refundable, or convertible under any circumstances;
may be modified, reset, or discontinued by us at any time without notice or compensation.
Any accumulation of Coins confers no property right, contractual right, or entitlement of any kind.
6. Prohibited Conduct
You agree not to use the App to:
violate any applicable law, regulation, or ordinance;
engage in or facilitate real-money gambling in jurisdictions where such activity is unlawful;
harass, threaten, defame, or harm any other user;
impersonate any person or entity or misrepresent your affiliation;
transmit unsolicited communications (spam) or engage in any fraudulent activity;
attempt to gain unauthorized access to the App, its systems, or other users' accounts;
reverse engineer, decompile, or disassemble any part of the App;
use automated tools, bots, or scripts to interact with the App;
post or transmit content that is unlawful, obscene, or infringes on third-party rights.
We reserve the right to suspend or terminate accounts that violate these prohibitions.
7. Bet Outcomes and Disputes
PropBet requires mutual confirmation from both parties before any bet outcome is finalized. We do not adjudicate, arbitrate, or resolve disputes between users regarding bet terms, outcomes, or real-world settlement. Specifically:
We are not a party to any informal wager between users.
We do not guarantee the accuracy of user-submitted results.
We have no obligation to investigate or resolve disagreements between users.
Any real-world obligation arising from a wager is exclusively between the users involved.
By using the App, you acknowledge that PropBet bears no responsibility for any failure by another user to honor an informal wager.
8. Intellectual Property
All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, and software, are the exclusive property of PropBet or its licensors and are protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to sublicense, sell, resell, copy, or exploit any portion of the App.
9. Privacy
Your use of the App is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the data practices described in the Privacy Policy.
10. Third-Party Services
The App may integrate with or link to third-party services (e.g., Apple App Store, Google Play, social login providers). We are not responsible for the content, privacy practices, or terms of those services. Your interactions with third-party services are governed by their respective terms and policies.
11. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:
the App will be uninterrupted, error-free, or free of viruses or harmful components;
results obtained through the App will be accurate or reliable;
defects will be corrected.
YOUR USE OF THE APP IS AT YOUR SOLE RISK.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROPBET, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
your use of or inability to use the App;
any content or conduct of any third party through the App;
any disputes between users regarding bets or their real-world settlement;
unauthorized access to or alteration of your data.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS (USD $100), REGARDLESS OF THE THEORY OF LIABILITY.
13. Indemnification
You agree to indemnify, defend, and hold harmless PropBet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
your use of the App;
your violation of these Terms;
your violation of any law or the rights of a third party;
any informal wager or real-world financial arrangement between you and another user.
14. Termination
We may suspend or terminate your access to the App at any time, for any reason or no reason, with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease. Sections 8, 11, 12, 13, 15, and 16 survive termination.
You may terminate your account at any time by deleting the App and contacting us to request account deletion.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of [YOUR STATE], without regard to its conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
If arbitration is found unenforceable, the exclusive jurisdiction for any dispute shall be the state and federal courts located in [YOUR COUNTY], [YOUR STATE].
16. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and PropBet regarding the App and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of that term or any other term.
Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.
